School Companies

It is important to read this article if your school is part of, or planning to be part of, a School Company.

If your school is part of a School Company or intends being part of a School Company then the Local Authority needs to know. Under section 12(1) of the Education Act 2002 a governing body of a maintained school is required to obtain the permission of its local education authority as its supervising authority and specify how the supervising authority for a company is to be selected. We have a duty to let the Secretary of State know all details of our School Companies so it is important we are informed and kept up to date.

Regulation 28 requires each School Company to provide us, as its supervising authority, with a copy of its memorandum and articles of association and to notify us of changes to its constitution and provide us with a copy of any amended constitution.

Regulation 28 also states that when a company is first incorporated it must provide us with audited accounts of its first six months' operation within the first 10 months of becoming a company, thereafter the company must provide us with a copy of the annual audited accounts.
